Tab C. - DRAFT - REIMBURSEMENT CERTIFICATE The Coalition Provisional Authority (CPA) has approved the use of Development Fund for Iraq (DFI) funds for the transaction set forth below in accordance with CPA Regulations 2 and 3. Upon request of the Trade Bank of Iraq (TBI), the CPA shall cause to be disbursed from available funds in the DFI to TBI, or such other person designated by TBI in writing to CPA and acceptable to the CPA, in its sole discretion, the amount of each disbursement made or currently due and owing in accordance with the terms of the relevant letter(s) of credit issued by or on behalf of the TBI in connection with the subject transaction. Payments pursuant to this Reimbursement Certificate shall be made in immediately available funds without set-off or counterclaim and in U.S. dollars to the account designated by TBI in writing to CPA.
