Dr. Sinan Shabibi
Governor of the Central Bank of Iraq
This is a Central Bank of Iraq Request for Applications.
Overview:
This Request for Applications (RFA) is part of a wide-ranging program by the Central Bank of Iraq (CBI), supported by the Coalition Provisional Authority (CPA), to strengthen Iraqs economy by: (i) accelerating the modernization of the banking sector; (ii) building a new foundation for the banking system that is based on sound market principles; (iii) fully implementing measures among Iraqs banks that are consistent with international best practices in all aspects of commercial bank operations; (iv) expanding banking products and services to the Iraqi population; and, (v) accelerating Iraqs integration into the international financial community.
The current commercial banking system suffered under the Saddam regime from years of restrictive regulation and the absence of opportunity to modernize the banking sector in many ways, including updating technology. The CBI is inviting interested foreign banks to participate in the economic reconstruction of Iraq by establishing a presence in Iraq.
The establishment and operation of banks in Iraq is governed by the Iraq Banking Law of 2003 (Law) [1] and any subsequent revisions to that Law. Under the Law a Foreign Bank that desires to operate in Iraq (Foreign Bank) may do so by: (1) Acquiring more than 50% of an existing Iraqi bank; (2) Establishing a Green Field or de novo subsidiary; or, (3) Establishing a branch of the Foreign Bank within Iraq. Acquiring more than 50% of an existing Iraqi bank requires an application and approval by the CBI. Establishing a majority or wholly-owned subsidiary of a foreign bank or bank holding company, requires issuance of a banking license by the CBI. Establishing a branch or a representative office of a foreign bank in Iraq requires issuance of a banking permit by the CBI. The CBI has decided to use this RFA for the applications for both licenses and permits by Foreign Banks wishing to begin operations in Iraq.
Subsidiaries of foreign owned banks shall be required to have 50 billion dinars of capital. There is no restriction on where that capital is invested. Although capital is not required for a foreign branch, the CBI reserves the right to require branches to maintain in Iraq an excess of assets over its liabilities that are owed to residents of Iraq in such amount, if any, as the CBI may stipulate.
The CBI Governor anticipates that both licenses and permits will be granted to successful applicants as soon as practicable after the CBI conducts its required due diligence. A determination on the application shall in no case take longer than 6 months from the date of notification by the CBI that the application is deemed complete.
Foreign Banks that have responded to a previous solicitation but were not selected remain eligible to reapply. Foreign Banks should not respond to the solicitation if they are only contemplating an investment of 50% or less in an existing Iraqi Bank.
If selected, a Foreign Bank is expected to comply with the commitments made in its response to this RFA in order to be granted the license or a permit. Material deviation could result in revocation of the license or permit.

Selection Criteria
The CBI Board of Directors will approve licenses or permits for those Foreign Banks that meet the requirements in the Banking Law for a license or permit, as applicable, and that in their judgment are the most committed and best able to contribute to the development and modernization of the Iraqi banking system and the sound growth of the Iraqi economy. In recommending which Foreign Banks should be selected to receive a license or a permit, the licensing department will evaluate each submission based on the criteria noted below.
The selection criteria below should be addressed in the written application, within the Format for Written Application section.
Commitment to a Range of Products and Services within a Reasonable Time Frame - In evaluating the submission, the breadth and depth of products and services to be offered as well as the time frame for introducing those products and services will be viewed critically. A Foreign Bank is expected to begin operations as soon as practicable, but no later than six (6) months after being granted a license or permit.
Commitment to Geographic Presence in Iraq - The Foreign Bank will receive more favorable consideration if its business plan provides for multiple branches with geographic diversity.
Commitment to Additional Capital For Foreign Banks that establish a subsidiary or purchase a majority interest in an existing Iraqi bank, the Foreign Banks commitment to capital beyond the minimum required (Iraqi Dinar 50 billion) will be viewed favorably.
Commitment to Lending Iraq has a significant and urgent need for both retail and commercial credit. The CBI will view favorably a strategy that includes a commitment to lend to multiple sectors in Iraq while maintaining credit integrity.
Commitment to cash management and payments products The CBI will view favorably the quick introduction of both domestic and international cash management and payments products. Initial Bank deposit taking may be in both Iraqi Dinar and US Dollars. Deposit taking in other currencies is permitted subject to CBI approval.
Commitment to Training - The Foreign Bank is expected to bring modern banking techniques and technology to the banking system and to train its Iraqi employees in these tools and techniques. Its Human Resources plan should clearly outline a training program that will train staff in systems and prepare staff for management positions.
Rating - The ratings of the Foreign Bank or its first tier parent by external credit rating agencies will be a factor in awarding a license or a permit. Please provide ratings for your bank in your submission.
